Terms & Conditions
Effective date: April 30, 2026
These Terms govern your use of Memio, an iOS application developed and operated by Soluna Interactive ("we," "us," "our"). By downloading, installing, or using Memio, you agree to these Terms. If you don't agree, don't use the app.
1. License
We grant you a personal, non-exclusive, non-transferable, revocable license to use Memio on Apple devices you own or control, in accordance with the Apple Media Services Terms and any applicable App Store rules.
2. Subscriptions
Memio offers an optional Pro subscription that unlocks additional features. Subscriptions are billed and managed by Apple as the merchant of record. Pricing is shown at the point of purchase.
- Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
- Manage or cancel your subscription in iOS Settings → Apple ID → Subscriptions or in the App Store app.
- Refund requests are handled by Apple per their refund policy: support.apple.com/billing.
- Free trials, if offered, automatically convert to paid subscriptions unless cancelled before the trial ends.
3. Your content
You retain full ownership of every voice memo, transcript, summary, and recap you create with Memio. We make no claim to your content. Because Memio operates without our servers, we have no copy of and no access to your content.
You are solely responsible for the content you create, including ensuring you have the right to record any voice or audio you capture. Do not record people without their consent where consent is required by law.
4. Acceptable use
You agree not to:
- Use Memio in any way that violates applicable laws, including recording-consent laws in your jurisdiction
- Reverse engineer, decompile, or attempt to extract the source code of the app, except as expressly permitted by law
- Resell, redistribute, or sublicense the app
- Use Memio to harass, defame, or invade the privacy of others
- Attempt to interfere with the app's security features, including App Lock
5. Intellectual property
Memio, the Memio name, the Soluna Interactive name, and all associated logos, designs, and code are owned by Soluna Interactive and its licensors. The fonts and open-source libraries shipped with the app are licensed under their respective terms (see in-app credits).
6. Disclaimer
Memio is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the app will be uninterrupted, error-free, or that AI-generated transcripts or summaries will be accurate. Voice transcription and summarization are best-effort and may contain mistakes.
Memio is a personal journaling tool. It is not intended for use as a medical, legal, financial, or therapeutic record-keeping system. Don't rely on Memio to capture information you can't afford to lose.
7. Data storage and your responsibility
Memio stores your data on your device and, if you enable iCloud sync, in your private iCloud database. We operate no servers and keep no copy of your data — which means we cannot recover data that is lost, corrupted, or rendered inaccessible for any reason.
You are solely responsible for:
- Backing up your data through iCloud, device backups, or any export feature provided in the app
- Keeping your Apple ID and iCloud account in good standing
- Recovering data lost due to device failure, theft, accidental deletion, software bugs, sync conflicts, iCloud outages, account suspensions, or any other cause
Treat Memio as you would any personal journal: keep an extra copy of anything you can't afford to lose. We make no promise that your data will be preserved, recoverable, or accessible at any future date.
8. Third-party data and services
Memio is distributed through the Apple App Store and TestFlight, and uses Apple's iCloud and CloudKit services for optional sync. Apple collects information about your use of these services according to Apple's privacy policy. This may include, without limitation:
- App Store download, install, and purchase activity
- Subscription transactions and billing data
- Crash reports and aggregated app analytics
- iCloud account data, sync metadata, and storage usage
- TestFlight feedback, screenshots, and beta participation data
We do not control, receive, or have visibility into the data Apple collects through these services. We are not responsible for Apple's data practices, retention policies, or any incident affecting Apple's services. Your relationship with Apple is governed by Apple's terms and privacy policy, not ours.
9. Limitation of liability
To the maximum extent permitted by law, Soluna Interactive will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, voice recordings, transcripts, summaries, or recaps — whether caused by use of the app, inability to use it, iCloud or device issues, third-party services, or any other cause. Our total liability for any claim arising from these Terms or your use of Memio will not exceed the greater of (a) the amount you paid us for the app in the twelve months preceding the claim, or (b) USD $50.
10. Termination
You can stop using Memio at any time by uninstalling the app. We may suspend or terminate your access to the app, particularly if you breach these Terms. Termination doesn't extinguish your ownership of content stored on your device.
11. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the most recent version. Material changes will be communicated through the app. Continued use of Memio after an update constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of Memio will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.
13. Apple-specific terms
These Terms are between you and Soluna Interactive only, not with Apple. Apple is not responsible for Memio or its content. Apple has no obligation to provide maintenance or support for Memio. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, who may refund the purchase price; to the maximum extent permitted by applicable law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
